Carnival (CUK) Director Katie Lahey Surrenders 78,029 Trust Shares

What Happened

  • Katie Lahey, a director of Carnival plc (CUK), disposed of 78,029.059 Trust Shares (beneficial interests in the P&O Princess Voting Trust) on May 7, 2026. The shares were surrendered to the issuer for no consideration and then canceled; the filing reports no cash price (N/A). This was not an open‑market sale — the disposition occurred as part of a corporate unification transaction.

Key Details

  • Transaction date: May 7, 2026; Form 4 filed the same day (timely).
  • Transaction code: D (Disposition to the issuer); 78,029.059 Trust Shares surrendered; price: N/A (no consideration).
  • Shares owned after transaction: The Trust Shares surrendered were canceled; the filing does not show remaining Trust Shares (the reporter did not dispose of any Carnival Corporation securities).
  • Notable footnotes: F1 explains that the Trust Shares represent beneficial interests in a special voting share paired with Carnival Corporation common stock. F2 states the DLC Unification and Redomiciliation was completed May 7, 2026, after which the Trust Shares held by the reporting person were surrendered to Carnival plc and canceled.
  • No indication of a 10b5‑1 plan, tax‑withholding sale, or option exercise in this filing.

Context

  • These Trust Shares were part of the dual‑listed company (DLC) structure; the May 7, 2026 DLC Unification and Redomiciliation converted Carnival plc into a wholly owned subsidiary and resulted in cancellation of the Trust Shares. Because the disposition was a surrender/cancellation related to corporate restructuring (not an open‑market sale), it should not necessarily be read as an insider trading signal.

Since completion of the DLC Transaction on April 17, 2003, if Carnival Corporation issues Carnival Corporation Common Stock to a person, the Trust will issue an equivalent number of Trust Shares to such person. The Trust Shares are paired with shares of Carnival Corporation Common Stock and are represented by the same stock certificate. The Trust Shares represent a beneficial interest in the Carnival plc special voting share.
  • [F2]On May 7, 2026, Carnival Corporation and Carnival plc completed the previously announced DLC Unification and Redomiciliation Transactions (the "DLC Unification and Redomiciliation"), pursuant to which Carnival plc became a wholly-owned subsidiary of Carnival Corporation Ltd.
