These options were granted to the Reporting Person pursuant to the Proton Energy Systems, Inc. 2000 Stock Incentive Plan. The Reporting Person has an agreement with The Beacon Group Energy Investment Fund II, L.P. pursuant to which he holds the options for the benefit of The Beacon Group Energy Investment Fund II. L.P. The Reporting Person disclaims beneficial ownership of these options except to the extent of his pecuniary interest therein, if any. The number of shares of common stock by Proton Energy Systems, Inc. beneficially by The Beacon Group Energy Investment Fund II, L.P. is less than 10 percent of the outstanding common stock. The Reporting Person ceased to be a director of the Issuer on June 3, 2003.
