(Towers Perrin) and Watson Wyatt Worldwide, Inc., shares of restricted Class A common stock were issued by the Issuer in exchange for Towers Perrin restricted stock units. These shares of restricted Class A common stock will vest over a 3-year period, with one-third vesting automatically on each of the first three anniversaries of the effective time of the merger so long as the holder of shares of restricted Class A common stock remains an employee of the Issuer or one of its subsidiaries as of each such anniversary.
