- [F1]In the event of both a qualifying change of control and certain terminations of employment (a "Trigger Event"), the Option shall accelerate as follows: (i) if the Trigger Event occurs between the February 22, 2010 (the "Date of Grant") and the first-year anniversary of the Date of Grant, one third of the Option shall vest; (ii) if the Trigger Event occurs between the first-year anniversary of the Date of Grant and the second-year anniversary of the Date of Grant, two thirds of the Option shall vest and (iii) if the Trigger Event occurs between two-year anniversary of the Date of Grant and the third-year anniversary of the Date of Grant, all of the Option shall vest.
