The options are exempt under Rule 16b-3. Pursuant to the terms of the Program, the exercise price of the option is equal to the closing market value of the Company's common stock on 12/31/08. Because the number of shares subject to option could not be calculated until final 2009 compensation amounts, including bonuses, were determined, the option did not become reportable until February 26, 2010.
