- [F1]Restricted Stock Units ("RSUs") granted under the MGM Resorts International (the "Company") Amended and Restated 2005 Omnibus Incentive Plan. On March 31, 2020, Mr. Grounds voluntarily reduced 75% of his cash compensation for the remainder of 2020 in exchange for a grant of an equivalent value of RSUs. Such RSUs will vest in full on December 31, 2020. Should Mr. Grounds cease serving on the Company's board of directors prior to December 31, 2020 for any reason, the RSUs shall vest on a pro-rata basis.
