- [F1]On July 29, 2020, pursuant to the Agreement and Plan of Merger, dated as of June 1, 2019 (the "Merger Agreement"), by and among El Paso Electric Company, a Texas corporation (the "Company"), Sun Jupiter Holdings LLC, a Delaware limited liability company ("Parent"), and Sun Merger Sub Inc., a Texas corporation and wholly owned subsidiary of Parent ("Merger Sub"), the Company merged with and into Merger Sub (the "Merger"), with the Company surviving the Merger. Pursuant to the Merger Agreement, at the effective time of the Merger (the "Effective Time"), each share of Company common stock issued and outstanding immediately prior to the Effective Time owned by the Reporting Person converted into the right to receive cash in the amount of $68.25, without interest.
