Mr. Ford is immediately vested in 1,517.58 of these common stock units but will not be vested in the remaining 379.40 common stock units attributable to the incentive feature of the plan until he attains age 55, dies or becomes disabled while employed by Company. These 1,896.98 units will be distributed to Mr. Ford after his retirement from the Company based upon the following schedule: 20% received one year after retirement, 20% received two years after retirement, 20% received three years after retirement, 20% received four years after retirement and 20% received five years after retirement.
