- [F2]Of the 10,500,897 shares beneficially held as of March 28, 2003, 77,375 of those shares are directly held by the Reporting Person. 4,023,255 of those shares are held by Willow Capital, L.P. ("Willow"), and 6,380,267 of those shares are held by RAMMSCO, Inc. ("RAMMSCO"). RAMMSCO is a wholly owned subsidiary of Willow. The Reporting Person does not have voting or disposition power over the shares held by Willow or by RAMMSCO, however, he does have a pecuniary interest in that he is the beneficiary of proceeds that may be received from the sale of the shares. The 10,243,522 shares originally listed as the amount of securities beneficially owned following the reported transaction only represented the total amount of securities indirectly held by the Reporting Person. The amended total amount of securities includes shares held both directly and indirectly by the Reporting Person.
