Ackerman Trust dated December 14, 1996 (the "Trust") on March 15, 2005, a hedging arrangement termed a "Variable Prepaid Forward Agreement" became effective with a securities broker as of July 20, 2005, relating to 500,000 shares of Issuer's Common Stock, $0.01 par value per share (the "Shares"). The arrangement is reflected in Table II as the acquisition of a put option. Following the scheduled maturity date of July 21, 2008, the number of Shares deliverable upon exercise of the put may vary, reflecting a minimum price of $35.2469 per share and a maximum price of $45.8210 per share for the Shares, subject to further adjustment for dividends received, if any and other events.
