- [F1]On March 11, 2005, Reporting Person entered into a hedging arrangement termed a "Variable Prepaid Forward Agreement" (the "VPF") which became effective with a securities broker as of March 11, 2005, relating to 92,069 shares of the Issuer's Common Stock, $.01 par value per share (the "Shares"). The VPF is reflected in Table II as the acquisition of a put option. Following the scheduled maturity date of March 11, 2007, the number of shares deliverable upon exercise of the put may vary, reflecting a miniumum price of of 100% ($31.61/share) and a maximum price of 130% ($41.09/share), subject to further adjustment for dividends received, if any and other events.
