Explanation of Responses: (1) MAS Acquisition XXVII Corp. effected a 1 for 825 reverse stock split on March 28, 2001. John Tsai, brother of Aaron Tsai, sold his fractional share back to the company for approximately $0.036. Pursuant to an Agreement and Plan of Reorganization MAS Capital Inc. sold 10,000 shares of common stock of MAS Acquisition XXVII Corp. to I.A. Europe, Inc. for $25,000.00. In additon, I.A. Europe, Inc. returned 10,000 Shares of common stock of MAS Acquisition XXVII Corp. for cancellation. In consideration for this action, I.A. Europe, Inc. agreed to pay and deliver to MAS Capital Inc. 20,000 shares of newly issued restricted common stock of I.A. Europe, Inc.
