- [F1]The Series D Convertible Preferred Stock ("Series D Stock") may be converted in Common Stock of the Company as follows: The number of Common Shares shall be equal to the total purchase price for the Series D Stock (computed at $1.00 per share) divided by the volume-weighted-trading average Closing Bid Price for the Common Stock during the ten-day period preceding the conversion date. In addition, one additional share of Common Stock will be issued for each four shares computed in the foregoing manner.
