The consideration for the transaction was cancellation of debt in the amount of $65,000 owed by Mr. Ray to the acquirers of the stock and represents a value of approximately $0.09 per share. The other transaction was a sale of $200,000 shares to an existing shareholder of Epic Financial Corporation. The consideration was $20,000 or $0.10 per share.
- [F2]Rodney R. Ray, the filing person, is deemed to be the beneficial owner of all common stock reported on herein. The shares of common stock that were sold had been held in the name of III Angels LP, a California limited partnership, established by Mr. Ray and for the benefit of Mr. Ray and the members of his family.
