- [F1]Richard Mangiarelli was elected director of the Issuer effective 12/10/2003. On 11/04/2004 Mr. Mangiarelli received 20,000 shares of the Issuer's common stock as compensation for Mr. Mangiarelli's services to the Issuer at the deemed issuance price of $0.38 per share. On 11/18/2004 Mr. Mangiarelli received options to purchase 100,000 shares of the Issuer's common stock as compensation for Mr. Mangiarelli's services to the Issuer at an exercise price of $0.40 per share. All options are fully vested and expire in 10 years from the date of the grant. Mr. Mangiarelli's wife, Janet Risher acquired 687,332 shares of common stock in connection with a Consulting Agreement dated February 27, 2004. Ms. Risher has the right to acquire an additional 1,500,000 shares of common stock pursuant to the Consulting Agreement, of which 287,332 shares are currently issuable. The 287,332 shares which are currently issuable are included in the 1,214,664 shares reported as being owned by Ms. Risher.
