- [F2]Mr. Ray has the right to purchase an additional 2,237,222 shares of common stock, pursuant to an Amended and Restated Stock Purchase Agreement dated May 25, 2004. Any additional shares which may be issued to Mr. Ray shall be for such consideration as the Board of Directors of the Company may determine, but not greater than the valuation assigned to such shares when issued. Any such shares may be issued to Mr. Ray in three equal increments, at the same time as shares are issued to the Consultants as described in Paragraph 3(j) of the Amended and Restated Stock Purchase Agreement.
