- [F1]Represents the number of restricted shares of common stock automatically granted and issued to me in my capacity as a member of the Board of Directors at the 2006 Annual Meeting of Stockholders held on July 12, 2006 pursuant to the Director Compensation Plan, which vested at the 2007 Annual Meeting of Stockholders held on May 22, 2007. The Company did not consider these shares when originally issued as outstanding due to a vesting provision which was satisfied on the date of the 2007 Annual Meeting of Stockholders. This transaction was previously reported in the Company's 2006 and 2007 Proxy Statements filed with the SEC.
- [F2]On January 16, 2007, the Company, subject to ratification and approval by common stockholders of certain amendments made by the Board of Directors to the Equity Incentive Plan of even date, granted me 225,000 common stock options (?Options?), at an exercise price of $.60 per share, good for 5 years, for my continuing service as a member of the Board of Directors, Chairperson of the Compensation Committee, and a member of certain Standing Committees for the next 3 years, of which 75,000 Options are eligible to vest at the end of each year of service and exercisable at the rate of 33 1/3% each year after vested. The amendments to the Equity Incentive Plan were ratified and approved by the common stockholders at the 2007 Annual Meeting of Stockholders held on May 22, 2007. This transaction was previously reported in the Form 8-K dated January 11, 2007 filed with the SEC on January 18, 2007 and 2007 Proxy Statement filed with the SEC on April 20, 2007.
