- [F1]On January 16, 2007, the Company, subject to ratification and approval by common stockholders of certain amendments made by the Board of Directors to the Equity Incentive Plan of even date, granted me 135,000 common stock options (?Options?), at an exercise price of $.60 per share, good for 5 years, for my continuing service as a member of the Board of Directors and certain Standing Committees for the next 3 years, of which 45,000 Options are eligible to vest at the end of each year of service and exercisable at the rate of 33 1/3% each year after vested. The amendments to the Equity Incentive Plan were ratified and approved by the common stockholders at the 2007 Annual Meeting of Stockholders held on May 22, 2007. This transaction was previously reported in the Form 8-K dated January 11, 2007 filed with the SEC on January 18, 2007 and 2007 Proxy Statement filed with the SEC on April 20, 2007.
