- [F1]This option, which vested with respect to 1,875 shares on September 23, 2004 and with respect to 5,625 shares on May 17, 2005, was exercisable prior to the fifth anniversary of the grant date only if the average of the high and low sale prices of the Issuer's Common Stock as quoted on The NASDAQ Stock Market on the trading day immediately preceding the exercise date was equal to or greater than $38.00 and freely exercisable after 9/23/2008. This option was cancelled in exchange for a cash payment of $151,762.50 representing the difference between the exercise price of the option and the merger consideration ($53 per share) pursuant to the Agreement and Plan of Merger, dated as of September 15, 2008, by and among Datascope Corp., Getinge AB and DaVinci Merger Sub, Inc. (the "Merger Agreement").
