- [F1]On May 14, 2008, the reporting person was granted an option to purchase 80,000 shares of common stock of the issuer. The option vests as follows: 25% of the shares subject to the option vest on the date on which the issuer files its annual report on Form 10-K for its fiscal year ending September 30, 2009; 25% of the shares subject to the option vest on the second anniversary of the date of grant; and 50% of the shares subject to the option vest on the third anniversary of the date of grant. In addition, the vesting of the shares subject to the option is subject to the achievement by the issuer of certain performance criteria in respect of its fiscal year ended September 30, 2009. The performance criteria for the issuer's fiscal year ended September 30, 2009 were met and the issuer filed its annual report on Form 10-K in respect of its fiscal year ended September 30, 2009 on December 4, 2009, resulting in vesting of the option as to 20,000 shares on December 4, 2009.
