Eastbourne is the general partner or manager and investment adviser of investment funds that are in the process of dissolving (the "Dissolving Funds"). Eastbourne also is the general partner and investment adviser of one investment fund that is not dissolving. The Dissolving Funds distributed to Mr. Barry for no consideration shares of Telik Inc. previously beneficially owned by Mr. Barry indirectly. Accordingly, Mr. Barry did not acquire any of the shares reported herein, but changed the nature of his beneficial ownership from indirect to direct with respect to such shares.
