- [F1]The sole purpose of this amendment is to correct the disclosure in the footnote on the original Form 4 under Table I, Column 5, which stated that Mr. Knooihizen held 12,696 of his shares in the form of Restricted Stock Units, rather than the correct number of 7,047 Restricted Stock Units and to correct the disclosure in Table II, Column 5 which inadvertantly indicated that the derivative securities described were disposed of rather than acquired.

Each RSU represents a contingent right to receive one share of Rackspace Hosting, Inc. common stock. 1/4 of the shares under the RSU grant shall vest and be delivered promptly after each anniversary of the grant date of March 10, 2010.
