- [F1]IIF Subway Investment LP and IIF Water Manager LLC may be deemed to indirectly beneficially own the shares of common stock, par value $0.01 (the "Common Stock), of SouthWest Water Company (the "Company"), owned by SW Merger Acquisition Corp. ("Parent"). On September 13, 2010, SW Merger Sub Corp. ("Merger Sub"), a Delaware corporation, merged (the "Merger") with and into the Company, pursuant to an Agreement and Plan of Merger dated as of March 2, 2010, among the Company, Parent and Merger Sub. In the Merger, all issued and outstanding shares of Common Stock of the Company were cancelled. As a result of the Merger, the Company, as the surviving corporation in the Merger, issued 100 shares of new common stock to Parent, representing all of the issued and outstanding capital stock of the Company.
