- [F1]Reports the number of deferred stock units granted and credited to the account of Mr. Rosen on December 9, 2010 pursuant to the Animal Health International, Inc. 2007 Stock Option and Incentive Plan. Each deferred stock unit is the economic equivalent of one share of common stock. These deferred stock units shall be fully vested on the anniversary date of grant, subject to service on the Company's board of directors on such date. These deferred stock units will be paid out in form of shares of common stock upon Mr. Rosen's retirement or other termination of service as a director of the Company.
- [F2]The shares of common stock to be paid out pursuant to the deferred stock units will be issued to investment funds affiliated with Charlesbank Capital Partners, LLC ("Charlesbank") pursuant to a contractual obligation to assign any fees received for service as a director. Mr. Rosen is a Managing Director of Charlesbank and may be considered to have beneficial ownership of shares of common stock of the Company managed by Charlesbank, and held by each of Charlesbank Equity Fund VI, Limited Partnership, CB Offshore Equity Fund VI, L.P., Charlesbank Equity Coinvestment Fund VI, Limited Partnership, and Charlesbank Coinvestment Partners, Limited Partnership (collectively, the "Charlesbank Funds"). Investment and voting control of the Charlesbank Funds is held by Charlesbank. Mr. Rosen disclaims beneficial ownership of all such shares, except to the extent of his pecuniary interest therein.
