- [F1]On December 31, 2010, Sun Acquisition Corp. ("Sun"), a wholly-owned subsidiary of Aceto Corporation ("Aceto"), purchased substantially all of the assets of Rising Pharmaceuticals, Inc. (now known as Pearl Ventures Inc.) ("Rising") pursuant to that certain asset purchase agreement ("Purchase Agreement") entered into by and among Aceto, Rising and the stockholders of Rising - David Rosen and the Reporting Person. As contemplated by the Purchase Agreement, a portion of the purchase price included the issuance of 1,000,000 shares of Aceto common stock to Rising (the "Consideration Shares"). Rising has distributed all of the Consideration Shares to its stockholders, including 800,000 shares to the Reporting Person. The Reporting Person previously reported indirect ownership of the Consideration Shares to the extent of his pecuniary interest therein. This Report reflects a change in the form of beneficial ownership only.
