- [F1]On October 31, 2012, Comverse Technology, Inc. ("CTI") effected the distribution of 100% of the outstanding shares of the common stock of Comverse, Inc. ("Comverse") held by CTI to CTI's shareholders (the "Distribution"). As a result of the Distribution, the reporting person's CTI restricted stock units and options were converted into Comverse restricted stock units and options. All such restricted stock units and options were granted pursuant to the Comverse, Inc. 2012 Stock Incentive Compensation Plan.
- [F2]Acquired in the Distribution as a result of holdings of CTI common shares in a transaction that was exempt pursuant to Rule 16a-9 and that was approved by Comverse's Board of Directors.
