- [F2]Pursuant to the Agreement and Plan of Merger, dated July 19, 2012, each option to acquire a share of Fidelity Bancorp, Inc. common stock was cancelled immediately prior to the effective date of the merger of Fidelity Bancorp, Inc. with and into WesBanco, Inc. in exchange for cash in an amount equal to the difference between $22.50 and the exercise price per share of the option.
