- [F1]Reflects a disposition of securities pursuant to the Agreement and Plan of Merger dated as of September 6, 2012 by and among the issuer, Tau Acquisition LLC ("Merger Sub"), a wholly owned subsidiary of Realty Income Corporation ("Realty"), and Realty, as amended (the "Merger"). Pursuant to the terms of the Merger, the issuer merged with and into Merger Sub, with Merger Sub surviving as a wholly owned subsidiary of Realty. Pursuant to the terms of the Merger, each share of common stock issued and outstanding immediately prior to the effective time of the Merger was converted into the right to receive a combination of (i) $0.35 in cash, (ii) 0.2874 of a share of common stock, par value $0.01 per share, of Realty, and (iii) cash payable in lieu of any fractional shares of Realty. The Merger became effective on January 22, 2013.
