- [F1]One share of Class B Common Stock is convertible into one share of Class A Common Stock at any time, at the option of the holder, and all shares of Class B Common Stock may be converted upon the affirmative vote of holders of at least a majority of the shares of Class B Common Stock outstanding. In addition, each share of Class B Common Stock will automatically convert into one share of Class A Common Stock upon any transfer, whether or not for value, subject to certain exceptions.
- [F2]On January 15, 2013, BIOeCON B.V. effected a conversion of 1,000,000 shares of Class B Common Stock which resulted in BIOeCON B.V. acquiring 1,000,000 shares of Class A Common Stock. In addition, Paul O'Connor and his immediate family members sharing the same household made eight open market sales during the period between January 14 and January 24, and as of the date of this Form 4, directly owns 1,378,421 shares of Class A Common Stock.
- [F3]1,000,000 shares of the Class A Common Stock and all of the shares of the Class B Common Stock securities reported are beneficially owned directly by BIOeCON B.V. Paul O'Connor, a Dutch citizen with a business address of Hogebrinkerweg 15 e, 3871 KM Hoevelaken, The Netherlands, is the managing director of BIOeCON B.V. As such, he may be deemed to have voting power and investment power over the shares held by BIOeCON B.V.
