Pursuant to the Merger Agreement, the issuer and Dex One combined into a new company, Dex Media, Inc. ("Dex Media"). Under the terms of the Merger Agreement, the issuer's stockholders received 0.4386 shares of Dex Media's common stock for each share of issuer common stock that they owned.
