- [F1]On November 6, 2014, the reporting person became entitled to receive shares of ChyronHego Corporation ("ChyronHego") common stock pursuant to an "earn-out" provision in the Stock Purchase Agreement pursuant to which ChyronHego acquired all of the issued and outstanding shares of Hego Aktiebolag ("Hego") on May 22, 2013. The Stock Purchase Agreement provided that the shareholders of Hego, including the reporting person, would receive additional shares of ChyronHego common stock, for no additional consideration, if Hego achieved certain milestones. The reporting person's right to receive additional shares, including the shares reported in this Form 4, became fixed and irrevocable on May 22, 2013.
