- [F1]On September 17, 2015, Sillerman Investment Company III LLC ("SIC") , of which Mr. Sillerman is the manager and the sole member, entered into an agreement to purchase 300 newly issued shares of Series A Preferred Stock, par value $0.001, of the Company ("Series A Preferred Stock") for an aggregate amount of $30,000,000. SIC paid $15,000,000 on September 17, 2015, in exchange for 150 shares of Series A Preferred Stock. SIC will pay an aggregate of an additional $15,000,000 for, and will receive the remaining 150 shares, over the 30 day period after September 17, 2015.
