Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Kenneth H. Klopp tendered his resignation as a member of the Board of Directors (the “Board”) of 4Licensing Corporation (the “Company”), effective October 16, 2015, to pursue other endeavors. His resignation was not due to any disagreement with the Company, the Board or the Company’s management. At the time of his resignation, Mr. Klopp served as a member of the Compensation Committee and the Nominating Committee of the Board. The Company thanks Mr. Klopp for his service on the Board.
