Myers (the "Reporting Person") whereby the Reporting Person was granted a restricted stock award of 12,250 shares of Class A Common Stock pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan (the "Restricted Stock Award Plan").
- [F2]This figure includes 57,250 restricted shares of Class A Common Stock issued pursuant to the Restricted Stock Award Plan. On January 3, 2016, restrictions applicable to previously reported grants of 15,000 and 11,000 shares, respectively, of Class A Common Stock lapsed, resulting in the Reporting Person becoming fully vested in such shares. This resulted in no change in the number of shares beneficially owned by the Reporting Person.
- [F3]Mr. Myers is the direct beneficial owner of 141,200 shares of Class A Common Stock, including the 57,250 restricted shares referenced in footnote 2. In addition, he is the indirect beneficial owner of 1,362 shares of Class A Common Stock owned by the Trust established under the Urstadt Biddle Properties Inc. Excess Benefit and Deferred Compensation Plan of 2005 for the benefit of Mr. Myers.
