Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Bruce R. Foster resigned as the Chief Executive Officer, Executive Vice President and Chief Financial Officer of 4Licensing Corporation (the “Company”), and as the sole member of the Company’s Board of Directors, effective February 29, 2016. His resignation was due to non-payment of wages and not due to any disagreement with the Company, the Board of Directors or the Company’s management.
