(the "Merger Agreement"). Pursuant to the Merger Agreement, on June 23, 2016, Lilis Merger Sub, Inc. was merged (the "Merger") with and into the Issuer and each share of the Issuer's common stock was converted into the right to receive 4.550916 shares of common stock of Lilis Energy, Inc. In accordance with the Merger Agreement, the reporting person resigned as a Chairman of Board of Director and Director of the Issuer effective as of the effective time of the Merger.
