- [F1]These shares were disposed of upon the completion of the merger in accordance with the Agreement and Plan of Merger, dated as of December 29, 2015, as amended on January 20, 2016, March 24, 2016 and June 22, 2016, by and among the Issuer, Lilis Energy, Inc., and Lilis Merger Sub, Inc. (the "Merger Agreement"). Pursuant to the Merger Agreement, on June 23, 2016, Lilis Merger Sub, Inc. was merged (the "Merger") with and into the Issuer and each share of the Issuer's common stock was converted into the right to receive 4.550916 shares of common stock of Lilis Energy, Inc. In accordance with the Merger Agreement, the reporting person resigned as a Chief Operating Officer of the Issuer effective as of the effective time of the Merger.
