Of these shares, 2,810 shares are attributable to the 8,432 shares of Class A Common Stock of OSG granted to the Reporting Person on June 23, 2016 pursuant to OSG's Non-Employee Director Incentive Compensation Plan and vest on the earlier of (i) June 8, 2017 and (ii) the date of the annual meeting of OSG's stockholders in 2017.
