On the effective date of the merger, First Century merged with and into FCB Merger Sub LLC, a wholly-owned subsidiary of Summit's wholly-owned subsidiary, Summit Community Bank, Inc. On last trading day prior to the effective date of the merger, the closing price of First Century's common stock was $23.08 per share, and the closing price of Summit's common stock was $21.54 per share.
