- [F2]Shares of common stock represented by vested Restricted Stock Units will be issued to the reporting person effective on the date on which the reporting person ceases to be a member of the Board of Directors of Golden Minerals Company. As previously reported on the reporting person's Form 3, the reporting person is the Chief Executive Officer of The Sentient Group. As previously reported on the reporting person's Form 3, certain funds of The Sentient Group hold shares of common stock of Golden Minerals Company. As a result of certain internal requirements of The Sentient Group, the reporting person will remit the shares of common stock issued pursuant to the Restricted Stock Units that are received by the reporting person for serving on the Board of Directors of Golden Minerals Company as directed by The Sentient Group at the time of issuance.
