Urstadt (the "Reporting Person") whereby the Reporting Person was granted a restricted stock award of 1,100 shares of Common Stock pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan (the "Restricted Stock Award Plan").
- [F2]Of such shares, 5,200 are restricted shares, subject to vesting, issued pursuant to the Restricted Stock Award Plan. The number of shares reported does not include shares of Common Stock of the Issuer owned by Urstadt Realty Associates Co LP ("URACO"), of which the Charles D. Urstadt Irrevocable Trust (the "CDU Trust") is a limited partner. The Reporting Person is the sole beneficiary of the CDU Trust. Shares held by URACO are separately reported by the general partner of the limited partnership. The number of shares reported also does not include shares of Common Stock of the Issuer owned by Urstadt Property Company, Inc. ("UPCO"), of which the Reporting Person is an officer and shareholder. Shares held by UPCO are separately reported by Charles J. Urstadt, the controlling shareholder, and UPCO.
