Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

~~Effective~~On ~~May~~March 922, ~~2017,~~2018 ~~Jun~~at ~~Isoda,~~a meeting of the ~~Principal~~Board ~~Accounting~~of ~~Officer~~Directors (the “Board”) to the Fund, Ilomai Kurrik, Assistant Secretary of the Siguler Guff Small Business Credit Opportunities Fund, Inc. (“SBCOF” or the “Fund”), ~~assumed~~was elected by the ~~principal~~Board, ~~financial~~including a majority of the Independent Directors to the Fund, as Secretary and ~~accounting~~Chief ~~responsibilities~~Legal ~~for~~Officer of the Fund. On the same date, ~~Michael~~Sandip ~~Ruggeri~~Kakar resigned as ~~the~~Secretary and Chief ~~Financial~~Legal Officer ~~and Treasurer~~ of the Fund. Mr. ~~Isoda~~Kakar will continue to be affiliated with the Fund as Assistant Secretary as elected by the Fund’s Independent Directors on March 22, 2018. Ms. Kurrik joined the Fund’s Investment Manager, Siguler Guff Advisers, LLC (“Investment Manager” or the “Firm”), in ~~November~~April ~~2007~~2015, and isprovides ~~responsible~~legal ~~for~~counsel ~~managing~~in ~~the~~connection ~~accounting~~with ~~and~~fund ~~financial~~offerings, ~~reporting~~governance ~~functions of all multi-manager funds~~ and ~~direct~~regulatory ~~investment products of the Firm~~issues, ~~and~~primary ~~oversight of all accounting~~ and ~~finance~~secondary ~~related~~fund ~~communications~~investments, ~~with~~direct ~~existing~~investments, and ~~prospective investors~~co-investments. MrMs. ~~Isoda~~Kurrik is actively involved in various operational and investment-related processes within the Firm, including ~~strategic planning,~~ due diligence and evaluating ~~the~~legal ~~financial controls of the Firm’s existing~~ and ~~prospective~~regulatory ~~managers. He~~risks ~~also~~for ~~serves on the Firm’s Operations, Allocation, Valuation, and Compliance Committees~~investments.

The Board of Directors of the Fund, including the Independent Directors (“Directors”), voted to appoint Mr. Isoda Chief Financial Officer and Treasurer of the Fund at a meeting of the Directors on May 9, 2017.
