Item 8.01 Other Events.

On March 12, 2021, following informal discussions with the Federal Trade Commission (the “FTC”), AstraZeneca PLC (“AstraZeneca”) notified the FTC that it has elected to withdraw and refile its notification and report form under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”) in connection with AstraZeneca’s previously announced plan to acquire Alexion Pharmaceuticals, Inc. (“Alexion”), in order to give the FTC additional time to review the proposed transaction.

The parties originally filed their respective notification and report forms on February 10, 2021. AstraZeneca’s notification and report form was withdrawn effective as of March 12, 2021, and AstraZeneca intends to refile on or about March 16, 2021. A new 30-day waiting period under the HSR Act will commence on the date of such refiling. As previously announced, the parties anticipate completing the transaction in the third quarter of 2021, subject to customary closing conditions including regulatory approvals and approval of Alexion’s stockholders and AstraZeneca’s shareholders.
