In connection with the amendment and restatement of the Promissory Note on February 22, 2024, the principal amount was repaid in part, monthly payments were scheduled, the term of the Promissory Note was extended and the convertibility feature was removed. Therefore, at the effective time of the amendment and restatement, the Promissory Note ceased to be, and the Reporting Person ceased to hold a derivative security .
