Regulation FD Disclosure.

On September 10, 2024, Learn CW Investment Corporation ( “Learn CW”) and Innventure LLC (“Innventure”) issued a press release announcing the effectiveness of a registration statement on Form S-4 (as amended, the “Registration Statement”) by Learn SPAC HoldCo, Inc. (“Holdco”) relating to their previously announced proposed business combination (the “Business Combination”). A copy of the press release is attached hereto as Exhibit 99.1.

Furnished as Exhibit 99.2 hereto is a social media post made by Innventure on September 10, 2024 on its Corporate account on LinkedIn, X, Facebook and Instagram.

On September 10, 2024, Learn CW announced that it expects to hold an extraordinary general meeting of its shareholders on September 30, 2024 to seek approval of the Business Combination and certain other related matters.
