Item 1.01

Entry into a Material Definitive Agreement.

On March 18, 2025, Frontier Communications Holdings, LLC entered into an amendment (the “2025 Credit Agreement Amendment”) to the existing credit agreement that governs its senior secured term loan credit facility (the “Term Facility”) and revolving credit facility (the “Revolving Facility”) with certain lenders. The 2025 Credit Agreement Amendment, among other things, (x) (i) lowers the margin over adjusted Term SOFR with respect to the Revolving Facility from 3.50% to 2.50% and (ii) lowers the margin over the alternative base rate with respect to the Revolving Facility from 2.50% to 1.50%, (y) revises the prepayment requirement with respect to the Term Facility to replace the $500 million prepayment exception for the funding of variable funding notes with a $500 million prepayment exception for funding pursuant to a qualified securitization facility and (z) provides for an additional prepayment exception with respect to the Term Facility for up to $135 million, subject to certain requirements and limitations.
