On February 5, 2014, Lee H. Roberts notified VantageSouth Bancshares, Inc. (the “Company”) of his resignation as Chief Operating Officer of the Company effective immediately, to pursue other career opportunities.

(e)

In connection with and following Mr. Roberts’ resignation, the Company has entered into an agreement to provide Mr. Roberts with compensation equal to seven weeks and three days of his base salary in accordance with the Company’s current payroll practices. In exchange for such payments, Mr. Roberts has agreed to a release and to noncompetition and related covenants for six months.
