- [F1]On November 8, 2004, Ju Xiang Ruan transferred in the aggregate 500,000 shares of common stock of China Finance, Inc. to nine employees of Shenzhen Shiji Ruicheng Guaranty and Investment Co., Ltd., a corporation organized under the laws of the People's Republic of China and a wholly owned subsidiary of China Finance, Inc. ("Shiji Ruicheng"). Ms. Ruan did not receive, and the employees of Shiji Ruicheng who received the shares of common stock of China Finance, Inc. from Ms Ruan did not pay, any funds or other consideration for such shares.
- [F2]On November 8, 2004, Ju Xiang Ruan contributed 4,030,000 shares of common stock of China Finance, Inc. to China U.S. Bridge Capital Limited, a limited liability company organized under the laws of the British Virgin Islands ("Bridge Capital"), for which Ms. Ruan did not receive, and Bridge Capital did not pay, any funds or other consideration. While Ms. Ruan is an insider of Bridge Capital, she is not a controlling member and does not have or share investment control over Bridge Capital's portfolio securities.
