Item 8.01. Other Events

On January 11, 2005, Medical Staffing Solutions, Inc. (the “Company”) entered into a non-binding letter of intent (the “Letter of Intent”) with Staff Relief, Inc. (“Staff Relief”) and its sole shareholder. Pursuant to the Letter of Intent and upon the consummation of a definitive agreement, the Company will purchase all of the issued and outstanding common stock of Staff Relief.

On January 13, 2005, the Company issued a press release announcing that the Company has entered into the Letter of Intent with Staff Relief.
