- [F1]On March 19, 2004 the reporting person's spouse converted a convertible security and received 50,000 shares of the issuer's common stock. On 3/19/04 the reporting person's spouse made a gift of 50,000 shares to family members. On December 30, 2004 the board of directors of the Issuer granted the reporting person's spouse 250,000 shares of common stock and five year non-qualified options to purchase 900,000 shares of the issuer's common stock; and on such date the reporting person was granted 300,000 of such non-qualified options. All of these transactions other than the gift should have been reported on Form 4.
- [F2]These 250,000 shares were granted to the reporting person's spouse as compensation for services rendered.
- [F3]300,000 of the options are held directly by the reporting person. The remaining 900,000 options are held indirectly by the reporting person's spouse. The reporting person disclaims beneficial ownership of all securities held by the reporting person's spouse.
